Corporate Offsites
B2B Terms & Conditions
1. About These Terms
These Corporate Terms and Conditions govern bookings and services provided by Privy Stays for corporate clients in connection with offsites, retreats, team stays, meetings, events and related experiences. The confirmed quotation, booking confirmation and any agreement executed by the parties form part of the applicable booking documents.
2. Corporate Client
A corporate client may be a company, partnership, limited liability partnership, registered organisation or other legal entity booking services for business purposes. Privy Stays may request relevant business, authorisation and billing information before confirming a booking.
3. Client Information and Authorisation
The corporate client shall provide accurate and complete information reasonably required to process and deliver the booking, which may include the following:
- · Legal name and registered address.
- · GSTIN and applicable tax information.
- · Details of an authorised representative or point of contact.
- · Purchase order or work order, where applicable.
- · Billing and payment information.
- · Participant or guest information required for the booking.
The person placing the booking represents that they are authorised to act on behalf of the corporate client or have obtained the necessary internal approvals.
4. Proposal and Booking Confirmation
A proposal or quotation does not, by itself, constitute a confirmed booking. A booking is confirmed only when Privy Stays issues written confirmation and the applicable payment, purchase order or other agreed booking conditions have been completed.
5. Scope of Services
Depending on the confirmed booking, services may include accommodation, meals, transport, meeting or work setup, experiences, activities, entertainment, vendor coordination (if arranged by Privy Stays), and on ground support. Only services expressly listed in the confirmed written scope are included. Unless expressly agreed in writing, the scope excludes cancellations or failures attributable to third party vendors, amenities or facilities not managed by Privy Stays, and services provided by vendors appointed directly by the corporate client. Privy Stays is not responsible for the performance, charges, cancellation terms or acts and omissions of vendors appointed directly by the client.
6. Changes to Requirements and Participant Numbers
After booking confirmation, changes to the booking requirements are not permitted unless expressly approved in writing by Privy Stays. Participant numbers may be increased, subject to availability, operational feasibility and any revised charges confirmed by Privy Stays. Participant numbers may not be reduced after booking confirmation. Any approved change shall be effective only when confirmed in writing by Privy Stays.
7. Participant Responsibilities
The corporate client is responsible for the conduct of its participants and guests and shall ensure that they comply with applicable property rules, safety requirements and reasonable instructions issued by Privy Stays or property staff. The client shall be responsible for damage, loss, extraordinary cleaning costs or other charges caused by its participants or guests, subject to the applicable booking terms. Government issued identification and participant information may be required where applicable.
8. External Vendors and Activities
Third party transport, activities, entertainment, food and other services arranged for a booking may be subject to the relevant vendor’s availability, safety requirements, cancellation terms and operating conditions. Where Privy Stays coordinates a third party service, its role is limited to the scope expressly agreed in the booking documents. Services from vendors appointed directly by the corporate client remain the client’s responsibility, including vendor payments, permissions, compliance and coordination, unless otherwise agreed in writing.
9. Payment and Invoicing
Payment deadlines, payment milestones, credit terms and invoicing requirements shall be stated in the applicable quotation, booking confirmation or signed agreement. The corporate client shall pay all amounts by the agreed due dates and provide any purchase order or approved billing document required for processing. Applicable taxes shall be charged in accordance with law.
10. Security Deposit and Damages
The corporate client shall pay a security deposit equivalent to 50% of the total booking amount. Privy Stays shall retain the security deposit until the end of the contract term. The security deposit shall be refunded within seven days after the contract ends, subject to deductions for damages, outstanding dues, or other amounts payable by the corporate client under the agreement. Any applicable deductions shall be adjusted against the security deposit before the balance is refunded.
11. Cancellation and Refunds
Cancellation, rescheduling and refund rights shall be governed by the applicable Privy Stays corporate cancellation and refund policies and the booking documents agreed for the relevant booking. Where a signed agreement contains specific cancellation or refund terms, those terms shall be read together with the applicable policies, subject to the order of precedence set out in these Terms.
12. Force Majeure
Neither party shall be liable for a delay or failure to perform to the extent caused by circumstances beyond its reasonable control, including natural disasters, severe weather, fire, epidemic or pandemic restrictions, government action, civil disturbance, or interruption of essential services. The affected party shall notify the other party as soon as reasonably practicable. The parties shall discuss reasonable alternatives, including rescheduling where feasible. The treatment of amounts paid, cancellations and refunds shall be determined by the applicable booking documents and policies, subject to applicable law.
13. Suspension or Termination for Breach
Privy Stays may suspend services or terminate a booking where the corporate client or its participants engage in unlawful conduct, materially breach property rules, create a material safety risk, cause significant damage, or otherwise commit a material breach of the booking terms. Where reasonably practicable, Privy Stays shall notify the client and allow an opportunity to remedy the breach. Any cancellation, payment or refund consequences shall be determined by the applicable booking documents and law.
14. Liability
Each party shall be responsible for its own acts and omissions and for complying with obligations applicable to it under the booking documents and law. Privy Stays shall not be responsible for the acts, omissions, service failures or cancellation decisions of third party vendors, except to the extent responsibility is expressly assumed in writing or cannot lawfully be excluded. Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.
15. Governing Law and Jurisdiction
These Terms and the applicable booking documents shall be governed by the laws of India. Any dispute shall be subject to the jurisdiction of the competent courts having territorial jurisdiction over Alibaug, Raigad, Maharashtra, subject to confirmation of the appropriate jurisdiction by legal counsel.
16. Order of Precedence
If there is any conflict between these Terms and other documents relating to a booking, the agreement signed by Privy Stays and the corporate client shall take precedence. To the extent a matter is not addressed in the signed agreement, the applicable booking confirmation, confirmed quotation and relevant Privy Stays corporate policies shall apply, in that order, unless the parties expressly agree otherwise in writing.
17. General
Any amendment to the booking terms must be recorded in writing and approved by both parties. If any provision is held unenforceable, the remaining provisions shall continue to apply to the extent permitted by law. A failure to enforce a provision on one occasion does not waive the right to enforce it subsequently.
